Fathom Holdings Inc<\/strong>. told its agents that its pending sale<\/a> \u043a Bed Bath & Beyond Inc.<\/strong> is intended to create an \u201cEverything Home Ecosystem\u201d that keeps real estate agents at the center of an expanded homeownership services platform, according to an internal email <\/a>filed Monday with the \u041a\u043e\u043c\u0438\u0441\u0441\u0438\u044f \u043f\u043e \u0411\u0435\u0437\u043e\u043f\u0430\u0441\u043d\u043e\u0441\u0442\u0438 \u0438 \u041e\u0431\u043c\u0435\u043d\u0443<\/strong>.<\/p>\n

Filed June 22 under SEC Rule 425, the email was sent to Fathom\u2019s agents after the company announced it had signed a definitive agreement to be acquired by Bed Bath & Beyond.<\/a> The message emphasized that the deal remains subject to closing conditions, including shareholder approval and may not close on the expected timeline or at all.<\/p>\n

The company addressed agent concerns about being notified only at the time of the public announcement. As a publicly traded firm, Fathom said it was required to keep details of the proposed transaction confidential until it was announced through \u201cappropriate regulatory channels,\u201d adding that early disclosure could have violated securities laws and jeopardized the deal.<\/p>\n

The communication positions the transaction as part of a longer-term strategy to move beyond a single-transaction model and extend the company\u2019s relationship with consumers over the full life cycle of homeownership. Fathom framed the Bed Bath & Beyond combination as a way to build an \u201cend-to-end homeownership experience\u201d that keeps agents in the middle of the relationship rather than limiting their role to intermittent purchase and sale events.<\/p>\n

According to the email, the planned \u201cEverything Home Ecosystem<\/a>\u201d would rest on three pillars:<\/p>\n
